Dominic's experience includes representing emerging and public growth companies in the software, telecommunication and life science industries. In addition, Dominic has represented numerous private equity fund managers in capital formations, portfolio investments and general governance issues, as well as represented prominent institutional investors and investment advisers in connection with structuring and negotiating investments in venture capital and buyout funds.
Notable Experience
- Dominic drafted and negotiated the financing documents on behalf of a Massachusetts-based telecommunications company in a $25 million venture financing.
- In addition to general corporate matters, he represented an open source software company in its reorganization and $10 million round of venture financing.
- Dominic counseled a medical device company in raising $2 million in seed financing and other general corporate matters.
- During a down-round financing and reorganization of an Israeli-based medical device company, he was part of a team that represented the lead investor in a $20 million round of financing.
- Dominic has advised various fund managers and negotiated and drafted venture fund partnership agreements in connection with the formation of venture capital funds, and assisted the fund managers in securing $75-$400 million in capital commitments from investors.

Prior to joining the firm, Dominic was an associate in the business practice group of a large Boston-based law firm where he concentrated on venture capital fund formations, mergers and acquisitions, venture financings, corporate governance, general corporate representation and securities law compliance. During law school, Dominic clerked for the Boston Housing Authority, worked as a substitute teacher for Boston Public Schools and coached wrestling at a private school in Boston.
