Richard B. Smith, a partner in our Business Law Department, serves as counsel to public and private life sciences companies, advising those companies on strategic business collaborations involving licensing, research, development, marketing, supply, clinical research and co-promotion transactions. Richard also advises companies on other corporate issues common to life science companies, including corporate formation for start-up ventures, venture capital and other financing, joint ventures, mergers and acquisitions, university licensing and intellectual property strategies. Richard is also a registered patent attorney.
Examples of recent life science engagements:
- Represented a Dutch biopharmaceutical company in a strategic collaboration with a major pharmaceutical company involving oligonucleotide therapeutic products for an orphan drug indication in a deal valued at over $650 million.
- Represented a publicly held biopharmaceutical company in an strategic license and development deal with a major pharmaceutical company involving a therapeutic cancer vaccine in a deal valued at over $440 million.
- Advised a publicly held biopharmaceutical company in the purchase of certain biotech products from a large publicly held biotechnology company.
- Advised a privately held German biotechnology company in its merger with a privately held U.S. biotechnology company.
- Represented a privately held biotechnology company in its license of a therapeutic pharmaceutical product from a small Japanese company.
- Advised a privately held specialty pharmaceutical company in a strategic collaboration with a major Japanese company involving a small molecule therapeutic product.
- Advised a human diagnostics company on its license of molecular diagnostics from a large publicly held company.
- Advised a privately held medical device company in its strategic collaboration with a major medical device company.
- Represented biopharmaceutical and specialty pharmaceutical companies in strategic collaborations with major biotechnology and pharmaceutical companies involving technologies such as antibody complex anti-infectives, small molecule therapeutics, oligonucleotides, RNAi and antisense.

Before Edwards Angell Palmer & Dodge
After graduating from the Rensselaer Polytechnic Institute with an undergraduate degree in Biomedical Engineering and a Master's degree in Electrical Engineering, Mr. Smith worked as an engineer for the Hewlett-Packard Company for nine years and was primarily involved with the design and manufacturing of cardiac ultrasound imaging equipment. He holds three patents related to his work at Hewlett-Packard.
