Having started her legal career in a federal bankruptcy clerkship in the early nineties and worked on numerous types of private equity transactions through the technology bubble of the late nineties, Sarah provides experienced counsel to her clients during all phases of their business lifecycle. Sarah's transactional experience includes private equity transactions, mergers and acquisitions, bankruptcy sales, senior and subordinated debt financings, recapitalizations, leveraged buyouts, workouts, restructurings, employment and equity incentive arrangements and other general corporate matters. Sarah advises private and public companies, private equity and venture capital funds and other large institutional investors in a wide range of businesses in the United States, Canada and Europe.
Notable Experience
- Sarah represented private equity investors in connection with equity financing, subordinated debt financing and senior debt financing of joint venture with Warner Bros. totaling $600 million (transaction was awarded “Media Industry Deal of Year” by Investor Dealer Digest).
- Sarah was on a team of lawyers representing private equity investor in sale of communications tower business to another leading private equity firm for $225 million.
- Sarah guided private equity investors in financing and acquisition of wireless PCS assets divested from Cingular Wireless.
- Sarah advised private equity investors in acquisition, equity financings and debt financings of Cleveland-based wireless provider.
- Sarah guided private equity investors in $125 million investment in company to acquire voice, data, security added resellers, managed service providers and system integrators.
- Sarah advised private equity investor in connection with $300 million leveraged buy out of a mobile production company.
- Sarah guided a group of private equity investors in formation and financing of successful bidder in FCC auction of wireless PCS licenses in the amount of $75 million.
- Sarah advises New York-based angel investing group focused on investments in women-owned businesses.
- Sarah counsels a biotechnology company developing innovative nanofluidic technology in private equity financings.
- Sarah is corporate counsel to a publicly held radio and television broadcaster and advises them on acquisitions, financings and other corporate matters.
- Sarah was engaged by multiple investors to represent them in successive rounds of financing of communications tower business.
- Sarah guided and negotiated the restructuring and recapitalization of a Florida-based CLEC.
- Sarah advised private equity fund in connection $15 million investment in company producing consumer events in a variety of markets, including the import tuner market.
- Sarah represented private equity investors in formation and $120 million equity financing of a Bermuda-based company formed to engage in the ownership and operation of dark fiber networks in metropolitan areas in the US and Europe.
- Sarah represented private equity investors and issuer in $30 million equity financing of a European telehousing company.
- Sarah advised private equity investors in multiple rounds of financing of telecommunications collocation business in Europe and other corporate matters.
- Sarah counseled a successful bidder in structuring and closing a Section 363 bankruptcy sale of a telecommunications business.
- From formation to merger with a public company in less than one year, Sarah was among a team representing a venture-backed holder (with over 20 investors) of communications spectrum.
- Sarah formed a company to market and license products of a television food personality through national chain stores.
- Sarah advised company in structuring real estate donation programs for not for profit corporations.
