We have been involved in many hundreds of M&A transactions, debt financings and equity investments involving public and private companies throughout the broadcasting and media industry. We regularly advise a number of broadcasters and publishers with respect to prepublication issues and represent them in privacy, defamation and other media-related litigation. Our clients include many of the most respected players in this rapidly evolving segment of the economy. In addition to handling transactional matters in this industry, we provide First Amendment, intellectual property, securities, employment, tax and other ongoing legal services to our media clients.
Matters recently handled by us on behalf of broadcasting and media clients include the following:
- Since 1991, we have served as general counsel to Lamar Advertising, the nation's largest pure play outdoor advertising company. We have handled Lamar’s IPO, as well as billions of dollars in debt offerings, acquisitions, joint venture transactions and antitrust work.
- On behalf of M/C Venture Partners, Bank of America Capital and Columbia Capital, we negotiated a $125 million private equity investment in a film production joint venture with Warner Bros. Pictures.
- We represented the lead private equity investors in creating cable television channels SiTV and The Tennis Channel.
- We represented American Community Newspapers, L.L.C., a portfolio company of Weiss, Peck & Greer and one of the nation's leading publishers of community newspapers, in its sale to Spire Capital Partners and Wachovia Capital Partners.
- We regularly represent WHDH-TV (Channel 7) in Boston in prepublication advice and in litigation on all media-related legal issues.
- We have represented publicly held Saga Communications, Inc. in dozens of acquisitions of radio and television stations and regional broadcasting networks.
- We advised the lead private equity investors in the $250 million first round financing of XM Satellite Radio.
